I, the duly elected and acting Secretary of Northern Colorado INDIVIDUAL PRACTICE ASSOCIATION, a Colorado Non-Profit Corporation, hereby certify that the foregoing Bylaws constitute the Bylaws of the Corporation as ended and restated at a meeting of the Board of Directors thereof held on the day of July 17, 2007, at the principal office of the Corporation.
